Bank certificate

When forming a limited company, the company’s share capital must be registered. If the shares are paid in cash, a bank certificate must be sent to the Swedish Companies Registration Office. This can be done both digitally and in paper form, but it is important that the original is submitted.
The bank certificate shows that the share capital has been paid into a special account opened by the person who is to form the limited company. It is also possible to use several bank certificates if these together bring the share capital to the correct amount.
These can issue bank certificates:
- A bank
- A credit market company
- Credit institutions within the European Economic Area (EEA)
For the bank certificate to be valid, this information must be included:
- Name and telephone number of the banking institution
- Amount deposited
- The proposed company name that appears in the notification, with the addition “under formation”
- Account number
- That the payment relates to shares in the relevant limited liability company
- Date when the certificate was issued
- If withdrawals were made from the account and, if so, when
